CAC moves to strike off 100,000 dormant companies in fresh compliance drive

The Corporate Affairs Commission (CAC) has commenced another round of its nationwide compliance exercise, targeting 100,000 companies for possible removal from Nigeria’s corporate register over alleged failure to meet statutory filing obligations.

In a public notice dated July 15 and signed by its management, the commission said the affected entities, listed under Batch 6, have 90 days to regularise their status by filing all outstanding annual returns and, where applicable, updating information on persons with significant control and beneficial ownership.

According to the commission, the names of the affected companies have been published on its official website.

CAC said the exercise is backed by Sections 692(3) and (4) of the Companies and Allied Matters Act (CAMA) 2020, which empowers it to strike off companies it has reasonable grounds to believe are no longer carrying on business or are otherwise dormant.

The commission directed affected companies to submit evidence of compliance to its designated email address after completing the required filings.

It warned that companies that fail to comply within the 90-day window will be removed from the register without further notice.

The latest exercise marks the sixth phase of CAC’s ongoing effort to clean up Nigeria’s corporate register. Since the initiative began in 2023, the commission has delisted hundreds of thousands of inactive and non-compliant companies. In February, it announced the removal of more than 400,000 companies from the register, while a fifth batch of 100,000 companies was published in July 2025.

Once a company is struck off the register, restoring it typically requires an order from the Federal High Court, a process that can be lengthy and expensive.
