Dangote IPO attracts $1.5bn–$1.6bn from domestic and retail investors

Dangote Petroleum Refinery and Petrochemicals’ initial public offering (IPO) has attracted between $1.5 billion and $1.6 billion in fully funded commitments from domestic and retail investors, putting the fundraising exercise on course to meet its target before international demand is fully accommodated.

According to a report citing people familiar with the transaction, the strong commitments from Nigerian and retail investors have heightened the prospect of an allocation squeeze for overseas investors seeking stakes in the refinery.

The development comes as the IPO was scheduled to close on October 27, 2026, following a two-week extension of the subscription period.

Investor interest has extended across global markets, with applications reportedly received from 119 countries, including all 54 African countries, according to a report by Nairametrics.

The broad participation underscores the international appeal of the refinery, which is seeking to raise capital through a public offering while expanding access to investment opportunities in one of Africa’s largest industrial projects.

The offering includes nominee arrangements involving Standard Bank Group in markets including Egypt and Ethiopia, as well as global depositary receipts being offered through exchanges in Kenya and Botswana to facilitate participation by investors outside Nigeria.

To accommodate the strong demand, the company is expected to consider exercising a 30 per cent over-allotment option, which could increase the amount raised to approximately $2.1 billion. However, international demand could still exceed the shares available for allocation.

Aliko Dangote, president of the Dangote Group, had indicated the strength of investor appetite while speaking in Gaborone, Botswana, on October 14. He said the refinery had already surpassed its fundraising target, with interest exceeding the amount being sought by more than three or four times.

Bloomberg also reported that Dangote could consider selling part of his personal stake through a secondary transaction to investors who fail to secure allocations in the IPO. Such a move would depend on his assessment of the final order book.

The reported commitments highlight the potential of the refinery’s public offering to deepen investor participation in Nigeria’s capital market, attract international capital and broaden ownership of a major domestic energy asset.

However, the final amount raised and the distribution of shares will depend on the completed subscription process, the allocation decisions and whether the over-allotment option is exercised.
